1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of Football.Club, the Community Revenue Management system for football clubs, powered by Fair, and provided by Football.Club Operating Systems Inc. (collectively, the "Services").

By accessing, using, or registering for Football.Club, the Club acknowledges that it has read, understood, and agrees to be bound by these Terms and the Football.Club Privacy Policy. If the Club does not agree, it may not access or use the Services. The individual registering on behalf of the Club represents that they are an adult (at least 18 years of age) and have authority to bind the Club to these Terms.

Individuals who register with, join, or are enrolled in a Club through the platform — including parents, guardians, players, and other registrants ("Members") — agree to these Terms when they register, but only the Member Terms in Section 16 apply to them. The Club-specific obligations in these Terms are not imposed on Members.

These Terms apply globally. Where local law conflicts with these Terms, applicable mandatory local law prevails.

2. Definitions

"Services" means the Football.Club platform together with related features, updates, and support.

"Club" means the football club, organization, or association that has subscribed to the Services. The Club is the customer and contracting party.

"Authorized User" means an adult administrator, coach, manager, or operations staff member designated by the Club to access the Services on the Club's behalf.

"Club Data" means personal information uploaded, stored, or processed within Football.Club, including but not limited to: member rosters; contact details for players, parents, guardians, coaches, and volunteers; training and match schedules; photographs and video; mentorship and coaching communications; attendance records; and similar Club-managed information.

"Minor" means an individual under 18 years of age, or under the applicable age of digital consent in the relevant jurisdiction (16 under GDPR, 13 under COPPA, etc.).

"Subscription" means active enrollment in a Football.Club Service tier with associated features and usage limits.

3. Service Tiers and Pricing

Football.Club is offered in the tiers below. Each tier includes all features of the lower tier(s) plus the additional features listed.

Feature availability, scope, and pricing are subject to change upon 30 days' notice. Tiers marked "Coming soon" are not yet available; their features and pricing will be confirmed at launch.

Football.Club is a B2B platform sold to and operated by adult-administered organizations. Direct accounts are not provided to Minors.

4. Account Registration and Club Responsibilities

4.1 Authorized Users

The Club is responsible for designating Authorized Users and ensuring all Authorized Users are adults (at least 18 years of age, or the age of majority in the Club's jurisdiction). The Club must promptly remove access for any Authorized User who is no longer authorized to act on the Club's behalf.

4.2 Account Security

The Club is responsible for maintaining the confidentiality of account credentials and promptly notifying Football.Club Operating Systems Inc. of unauthorized access. The Club must ensure Club Data uploaded to the platform does not violate laws, regulations, or third-party rights.

4.3 Designated Privacy Contact

The Club must designate a Club representative authorized to act as the Club's data controller point of contact for privacy and safeguarding matters. This designation should be communicated to Football.Club Operating Systems Inc. at admin@football.club.

5. Payment Terms and Stripe Integration

5.1 Subscription Fees

Service fees are billed monthly in advance on the same day each month as the Subscription Date. All payments are processed by Stripe and charged to the Club's designated payment method. The Club must maintain current payment information. Repeated payment failures may result in service suspension or termination.

5.2 Pricing and Changes

Current pricing is displayed on Football.Club. Football.Club Operating Systems Inc. reserves the right to change pricing upon 30 days' notice. Price increases apply to new billing cycles; existing Subscriptions continue at the current rate until renewal.

5.3 Taxes

Prices exclude applicable sales tax, VAT, GST, and other taxes. The Club is responsible for applicable taxes; Football.Club Operating Systems Inc. will collect and remit taxes as required by law.

5.4 Refunds and Cancellation

Subscriptions are non-refundable except where required by law. The Club may cancel at any time through Account Settings, effective at the end of the current billing cycle. No prorated refund is provided for mid-cycle cancellation.

5.5 Stripe Integration

Football.Club Operating Systems Inc. uses Stripe, Inc. ("Stripe") as its payment processor. By agreeing to these Terms, the Club also agrees to Stripe's terms.

When the Club authorizes payment, Stripe processes the transaction on Football.Club Operating Systems Inc.'s behalf. Stripe collects and processes payment method information; detects and prevents fraudulent transactions; complies with financial regulations (AML, KYC); retains payment records for tax compliance (up to 7 years); and handles payment disputes, chargebacks, and refunds.

Stripe is an independent service provider with its own liability limitations. Stripe's liability for payment processing is capped at $200 USD or 12 months of fees paid to Stripe, whichever is greater. Football.Club Operating Systems Inc.'s liability (capped in Section 10.4) applies separately and independently.

For payment failures, declined or fraudulent charges, the Club should contact Stripe directly at support.stripe.com or dispute the charge with their bank. Football.Club Operating Systems Inc. cannot reverse, cancel, or refund transactions directly.

The Club's use of payment processing is also governed by Stripe Consumer Terms of Service, Stripe Privacy Policy, and Stripe Acceptable Use Policy. Where these Terms conflict with Stripe's terms regarding payment processing, Stripe's terms control for payment-related matters.

6. Acceptable Use Policy

The Club agrees not to:

  • Use the Services to harm, exploit, harass, endanger, or otherwise compromise the safety of any individual, including any Minor;
  • Bypass or circumvent safeguarding obligations, parental or guardian consent requirements, or any applicable child protection law;
  • Upload Club Data concerning Minors without first obtaining all required parental or guardian consents;
  • Upload photographs, video, or other media depicting Minors without obtaining all required image rights, likeness, and parental or guardian consents;
  • Permit unauthorized adult access to communications, media, or personal information concerning Minors;
  • Use the Services for any unlawful purpose, including fraud, identity theft, or harassment;
  • Transmit malware, viruses, or code designed to disrupt, disable, or harm Football.Club Operating Systems Inc.'s infrastructure or other users' systems;
  • Reverse-engineer, decompile, or attempt to derive the source code or algorithms underlying the Services;
  • Scrape, bulk download, or systematically extract data from the platform without written authorization;
  • Attempt to gain unauthorized access to Football.Club Operating Systems Inc. systems, user accounts, or infrastructure;
  • Resell, redistribute, or sublicense the Services without explicit authorization;
  • Use the Services to defame or discriminate against individuals or groups;
  • Use automated scripts or bots (other than those provided by Football.Club Operating Systems Inc.) to interact with the Services;
  • Upload content that violates others' intellectual property rights, privacy, or contractual rights.

Violations may result in immediate suspension or termination. Football.Club Operating Systems Inc. reserves the right to cooperate with law enforcement, child safety authorities, regulatory bodies, sport governing bodies, and affected parties in investigating violations.

7. Intellectual Property

7.1 Intellectual Property

The Fair AI agent and the underlying Fair technology, models, algorithms, and system are owned by Football.Club Operating Systems Inc.'s technology licensor, which retains all rights, title, and interest in that technology. Football.Club Operating Systems Inc. provides and operates the Fair AI agent within the Services under license from that licensor.

Football.Club Operating Systems Inc. retains all rights to the Football.Club platform, website, templates, designs, brand, documentation, and the Services as delivered to Clubs.

The Club is granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and the Club's Subscription. No ownership rights in the Fair technology, the platform, or the Services are transferred to the Club.

7.2 Club Data

The Club retains ownership of Club Data. By uploading Club Data, the Club grants Football.Club Operating Systems Inc. a non-exclusive, royalty-free, worldwide license solely to: store, process, and display the Club Data to deliver the Services to the Club.

AI Training Carve-out. Neither Football.Club Operating Systems Inc. nor the owner of the underlying Fair technology uses Club Data for AI training, aggregated insights, cross-customer analytics, or any purpose beyond direct delivery of the Services to the Club. No data concerning Minors is used for AI training under any circumstances.

The Club represents and warrants that it has the right to upload Club Data and has obtained all necessary consents (including parental and guardian consents for any Minor data, and image rights consents for any media), and that Club Data does not infringe third-party rights.

7.3 Feedback

Any feedback, suggestions, or feature requests provided by the Club may be used by Football.Club Operating Systems Inc. at its sole discretion without compensation or attribution.

8. Data Processing Roles — Controller and Processor

The Club is the data controller for all Club Data. Football.Club Operating Systems Inc. is the data processor and processes Club Data only on documented instructions from the Club.

The Club is solely responsible for:

  • (a) Establishing a lawful basis for collection and use of all personal information uploaded to the platform;
  • (b) Obtaining all required consents — including parental or guardian consents for any Minor data — prior to upload, in accordance with applicable law (including PIPEDA in Canada, GDPR Article 8 in the EU, the UK GDPR and Age Appropriate Design Code, COPPA in the United States, and the Privacy Act 1988 in Australia);
  • (c) Providing privacy notices to data subjects, parents, and guardians;
  • (d) Honouring data subject access, correction, deletion, and other rights requests, including those made by parents or guardians on behalf of Minors;
  • (e) Implementing safeguarding measures and complying with applicable child protection, sport governing body, and education law;
  • (f) Notifying parents and guardians of any data incident affecting a Minor's information, in coordination with Football.Club Operating Systems Inc. where breach notification is required.

In its processor capacity, Football.Club Operating Systems Inc. processes Club Data only on documented instructions from the Club, applies appropriate technical and organizational measures, and assists the Club in fulfilling obligations under applicable law. A Data Processing Agreement (DPA) is available on request.

9. Children's Data and Parental Consent

Football.Club is not intended for direct use by Minors. The Club acknowledges and agrees that:

  • Direct accounts on Football.Club are provided only to adult Authorized Users.
  • Where the Club uploads, stores, or processes any personal information concerning Minors — including but not limited to player rosters, contact details, photographs, video, communications, training records, or attendance — the Club is the sole data controller of that information.
  • The Club has obtained, prior to upload, all required parental or guardian consents under applicable law.
  • The Club has obtained all required image rights, video, and likeness consents prior to uploading any media depicting Minors.
  • The Club has provided all required privacy notices to data subjects, parents, and guardians.
  • All communications generated by the Fair AI agent and intended for dissemination to Minors or their parents or guardians must be reviewed and approved by an authorized adult Club representative prior to dissemination.
  • The Club will promptly respond to any access, correction, or deletion request from a parent or guardian and will instruct Football.Club Operating Systems Inc. accordingly.
  • The Club has a designated representative authorized to act as the Club's privacy and safeguarding point of contact.

If Football.Club Operating Systems Inc. becomes aware of a violation of these provisions, Football.Club Operating Systems Inc. reserves the right to immediately suspend or terminate the Club's account, preserve account data and logs for child protection and law enforcement purposes, and cooperate fully with applicable child safety authorities.

If any individual believes a Club has uploaded personal information concerning a Minor in violation of these requirements, they should contact admin@football.club.

10. Limitation of Liability and Disclaimers

10.1 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FOOTBALL.CLUB OPERATING SYSTEMS INC. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. FOOTBALL.CLUB OPERATING SYSTEMS INC. DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR MEET THE CLUB'S SPECIFIC REQUIREMENTS.

10.2 No Legal or Professional Advice

The Services provide tools for club operations, communications, and management. The Services do NOT constitute legal advice, child protection advice, safeguarding consulting, or professional consulting beyond the specific services contracted. The Club is solely responsible for compliance with all applicable laws and must consult with qualified professionals (legal counsel, child protection counsel, safeguarding officers) regarding all compliance and safeguarding obligations.

10.3 No Affiliation with Sport Governing Bodies or Regulators

Football.Club Operating Systems Inc. is not affiliated with any sport governing body, regulatory authority, or government agency. Compliance with the Services does not guarantee compliance with the rules of any football association, league, or sport governing body.

10.4 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOOTBALL.CLUB OPERATING SYSTEMS INC. SHALL NOT BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY; (C) BUSINESS INTERRUPTION; (D) REPUTATIONAL HARM; OR (E) DAMAGES ARISING FROM REGULATORY PENALTIES OR ENFORCEMENT ACTION, EVEN IF FOOTBALL.CLUB OPERATING SYSTEMS INC. HAS BEEN ADVISED OF THE POSSIBILITY.

FOOTBALL.CLUB OPERATING SYSTEMS INC.'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLUB TO FOOTBALL.CLUB OPERATING SYSTEMS INC. IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY; IN SUCH CASES, FOOTBALL.CLUB OPERATING SYSTEMS INC.'S LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

10.5 No Liability for Club Data or User Content

Football.Club Operating Systems Inc. is not liable for Club Data, content uploaded by Authorized Users, or third-party content displayed on the platform. The Club assumes all risk associated with uploading, transmitting, and using Club Data, including all liability arising from the upload of any data concerning Minors without required consents.

10.6 AI Accuracy and Human Verification

The Fair AI agent uses machine learning. Football.Club Operating Systems Inc. does not guarantee perfect categorization, routing, or output. The Club remains responsible for reviewing and verifying all AI-generated content. Communications concerning Minors must be reviewed and approved by an authorized adult Club representative before dissemination.

11. Indemnification

The Club agrees to indemnify, defend, and hold harmless Football.Club Operating Systems Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from or relating to: (a) the Club's use of the Services; (b) breach of these Terms; (c) violation of applicable law (including child protection law, safeguarding obligations, and privacy law); (d) infringement of third-party rights by Club Data; (e) failure to obtain required parental or guardian consents prior to uploading Minor data; (f) failure to obtain required image rights or likeness consents prior to uploading media; or (g) any action taken under the Club's account or by any Authorized User.

12. Termination and Suspension

12.1 Termination by Club

The Club may terminate at any time through Account Settings or by contacting admin@football.club. Termination is effective at the end of the current billing cycle. No refund is issued for the current period.

12.2 Immediate Termination by Football.Club Operating Systems Inc.

Football.Club Operating Systems Inc. may suspend or terminate an account immediately, without notice, if: (a) the Club violates these Terms or the Acceptable Use Policy; (b) the Club violates child protection law, safeguarding obligations, or privacy law; (c) the Club engages in fraud, illegal activity, or criminal conduct; (d) the account is used to harm, exploit, or endanger any individual (including any Minor); (e) Football.Club Operating Systems Inc. is required to do so by law or court order; or (f) Football.Club Operating Systems Inc. reasonably believes the use poses a legal or safety risk.

12.3 Termination for Inactivity

Football.Club Operating Systems Inc. may terminate an account for inactivity (no login for 12+ months) upon 30 days' prior notice.

12.4 Effect of Termination

Upon termination: (a) the Club's right to use the Services ceases immediately; (b) account data may be retained in accordance with the Privacy Policy and legal obligations; (c) Club Data will be returned or deleted on the Club's instructions within 90 days (subject to legal retention requirements); (d) all fees and indemnification obligations survive.

13. Geographic Scope and Sub-processors

13.1 Geographic Scope

Football.Club is currently launched in Canada. As the Service expands to other markets, jurisdiction-specific provisions may apply and will be communicated to Clubs at the time of expansion.

13.2 Sub-processors

Football.Club Operating Systems Inc. may engage sub-processors (including hosting providers, AI service providers, and analytics partners) to assist with delivery of Football.Club. A current list of sub-processors is available upon request to admin@football.club. Football.Club Operating Systems Inc. will provide notice of material changes to the sub-processor list.

13.3 Third-Party Partners

Football.Club Operating Systems Inc. has the following partner relationships in connection with Football.Club:

  • Kelowna United Football Club — launch Club Partner. This relationship is informational and does not confer any rights, obligations, or special status on other Clubs using the Services.
  • Pace Sports Performance Inc. (pace.fit) — Development Partner and contracted sports-science provider available to Clubs that engage Pace separately.

Any contract between a Club and Pace Sports Performance Inc. is a separate agreement directly between that Club and Pace. Football.Club Operating Systems Inc. is not a party to that contract, does not control Pace's services, and makes no representation or warranty regarding Pace, its services, or its compliance with applicable law. Any Club Data shared with Pace under such an arrangement is governed by Section 9 of the Privacy Policy, including the Club's continuing obligations as data controller.

Football.Club Operating Systems Inc. may add, change, or remove partners from time to time. Material changes affecting Club Data sharing will be communicated to affected Clubs.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. If the Club is in the European Union, UK, or Australia, mandatory consumer or commercial protection laws in the Club's jurisdiction will apply. All disputes are subject to the exclusive jurisdiction of the courts of British Columbia.

14.2 Dispute Resolution Process

Before pursuing formal legal action, the parties agree to first attempt informal resolution. The Club should contact admin@football.club with a detailed description of the dispute. Football.Club Operating Systems Inc. will attempt to resolve within 30 days.

14.3 Litigation

If informal resolution fails, any legal action must be brought in the courts of British Columbia, Canada, and the Club irrevocably consents to the exclusive jurisdiction and venue of such courts. This does not prevent either party from seeking injunctive relief in any court of competent jurisdiction, including in the interest of child protection or safety.

14.4 No Class Action

To the maximum extent permitted by law, disputes must be resolved on an individual basis. The Club waives any right to participate in class action litigation or class-wide arbitration.

15. Miscellaneous

15.1 Entire Agreement. These Terms, the Football.Club Privacy Policy, and any addendum or DPA constitute the entire agreement between the Club and Football.Club Operating Systems Inc. and supersede all prior agreements.

15.2 Severability. If any provision is deemed unenforceable, it will be modified to the minimum extent necessary or severed, and remaining provisions will remain in full effect.

15.3 Waiver. Failure to enforce any right or provision is not a waiver. Any waiver must be in writing.

15.4 Assignment. The Club may not assign these Terms without Football.Club Operating Systems Inc.'s written consent. Football.Club Operating Systems Inc. may assign these Terms to its successors, affiliates, or acquirers without notice.

15.5 Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.

15.6 Notices. Notices to Football.Club Operating Systems Inc.: admin@football.club (compliance, safeguarding, legal, privacy) or support@football.club (general support). Notices to the Club: registered email or in-platform.

16. Member Terms (Players, Parents, Guardians and Registrants)

This Section applies to Members: individuals who register with, join, or are enrolled in a Club through the platform, including players, parents, guardians, and other registrants. It does not govern the Club's commercial relationship with Football.Club, which is governed by the rest of these Terms. Where the rest of these Terms impose obligations on "the Club," those obligations are not imposed on Members.

16.1 Your Relationship Is With the Club

When a Member registers through the platform, the Member is joining or transacting with the Club, not with Football.Club. Football.Club Operating Systems Inc. provides the registration, payment, and member-facing features to the Club as the Club's service provider and data processor. Membership, eligibility, programming, fees, and refunds are determined by the Club. Football.Club is not a party to the membership relationship between the Member and the Club.

16.2 Data Roles for Member Information

The Club is the data controller of all personal information provided by or about Members. Football.Club Operating Systems Inc. processes that information only on the Club's documented instructions, as data processor, and does not determine the purposes for which Member information is processed. Football.Club does not collect Member information for its own independent purposes and does not act as a data controller or operator with respect to Member information. The AI training restrictions in Section 7.2 apply to all Member information, including any information concerning Minors. How Member information is handled is described in the Privacy Policy.

16.3 Registering a Minor

If a Member registers a child or enrolls on behalf of a Minor, the registering adult confirms that they are the parent or legal guardian, or are authorized by the parent or legal guardian, and that they have authority to provide any consent the Club requires. The Club remains responsible for obtaining and recording parental and guardian consents as set out in Section 9.

16.4 Acceptable Use by Members

Members agree to provide accurate registration information; keep any access credentials confidential; use the platform only for legitimate Club purposes; and not upload unlawful content or content that infringes the rights of others. Members must not attempt to access information concerning other individuals (including other Members' children) that they are not authorized to access.

16.5 Registration and Membership Fees

Where a Member pays registration, membership, or program fees through the platform, those fees are charged by and payable to the Club. Payments are processed by Stripe on the Club's behalf. Refunds, credits, and fee disputes are determined by the Club under the Club's own policies. Football.Club does not set Member fees, does not collect them for its own account, and does not issue Member refunds, and is not responsible for the Club's fee or refund decisions.

16.6 Member Rights and Requests

Requests to access, correct, or delete Member information should be directed to the Club, which is the data controller. If the Club does not respond, a Member may contact admin@football.club and Football.Club will assist the Club in responding. Member rights are described further in the Privacy Policy.

16.7 Liability to Members

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable consumer protection law. The indemnification obligations in Section 11 do not apply to Members. The limitations of liability in Section 10 apply to Members only to the extent permitted by the consumer protection law of the Member's jurisdiction. Football.Club provides the platform to Members as the Club's service provider, and the Club remains responsible for its own programming, decisions, and communications.
